Terms of Service
Effective date: May 18, 2026
These Terms of Service govern access to and use of Stafiel websites, dashboards, hosted checkout, widgets, APIs, documentation, operational tools, and related services. By accessing or using the Services, you agree to these Terms.
If you use the Services on behalf of a company, organization, merchant, or other business, you represent that you have authority to bind that business to these Terms. In these Terms, "you" and "Merchant" refer to that business and any person using the Services on its behalf.
References to "Stafiel" mean the Stafiel service and the operator, provider, affiliate, successor, or assignee that makes the Services available or is identified in an applicable order, onboarding flow, merchant agreement, platform agreement, or other written document.
1. Business Use
The Services are intended for merchants, platforms, and other business users. They are not intended for consumer account use. A customer who pays a merchant through a Stafiel checkout flow is the merchant's customer, not a Stafiel account holder solely because that customer completes a payment.
You must be at least 18 years old and have legal authority to use the Services for business purposes. You are responsible for ensuring that your use of the Services, your products or services, your customers, and your payment activity comply with all laws, rules, regulations, orders, sanctions, tax requirements, and industry obligations that apply to you.
2. The Services
Stafiel provides technology that helps merchants create stablecoin checkout sessions, present hosted or embedded payment experiences, receive payment status updates, and configure settlement paths for supported blockchain networks and tokens.
The Services may include:
- hosted checkout pages with QR-based payment displays;
- merchant dashboards and administrative tools;
- payment APIs, checkout session APIs, and order status APIs;
- widget or embedded checkout experiences;
- API status retrieval, merchant notifications, and event delivery features;
- blockchain payment detection and status updates;
- refund, settlement, contract, and on-chain operation tools where supported;
- documentation, support, operational communications, and related features.
Available features, supported assets, supported networks, confirmation rules, refund capabilities, contract logic, and operational limits may vary by merchant, region, token, network, configuration, risk review, or service plan. Stafiel may add, modify, suspend, or discontinue any feature at any time to the maximum extent permitted by applicable law.
3. Accounts and Credentials
You are responsible for all activity under your account, dashboard, API keys, OAuth login, webhook secrets, signing keys, wallet connections, and other credentials. You must keep credentials confidential, use appropriate access controls, and promptly notify Stafiel if you believe any credential, wallet, or account has been compromised.
Stafiel may reject, limit, suspend, rotate, revoke, or require replacement of credentials where Stafiel determines that doing so is appropriate for security, fraud prevention, compliance, abuse prevention, service integrity, risk control, or operational reasons.
4. Merchant Configuration and Wallets
You are responsible for configuring accurate merchant information, checkout settings, supported assets, supported networks, return URLs, webhook endpoints, wallet addresses, settlement preferences, and other service settings.
Where the Services request a wallet signature or other wallet authorization, you are responsible for verifying the message, wallet, chain, token, address, and transaction before signing. Merchant-configured settlement addresses or settlement rules may be written into smart contracts, on-chain programs, or other payment infrastructure used for a checkout session or merchant configuration.
The Services are designed for merchants to maintain control over their own wallets and signing authority. Stafiel does not require merchants to provide private keys as part of ordinary checkout operation. You remain responsible for wallet custody, wallet security, wallet compatibility, private keys, seed phrases, signers, permissions, approvals, and any loss or compromise involving your wallet or signing environment.
Stafiel-controlled platform roles may be used within the logic of applicable smart contracts, on-chain programs, or payment infrastructure. These roles may deploy or initialize contracts or programs, configure fee treasury settings, operate settlement sweeps, execute platform refunds or rescue actions where supported, extend sweep unlock timing, pause, resume, close, or govern contracts or programs, and collect or route platform fees. These roles do not give Stafiel custody of merchant funds outside the logic encoded in the applicable contract, program, or service configuration.
5. Third-Party Wallets and Tools
Stafiel may display or reference third-party wallet options, browser extension wallets, exchange wallets, blockchain explorers, node providers, or similar tools for convenience. Stafiel does not operate, control, endorse, warrant, or assume responsibility for any third-party wallet provider, wallet software, browser extension, exchange account, node provider, explorer, or related tool.
You and your customers are responsible for selecting, installing, securing, and using wallets and related tools, reviewing applicable third-party terms and privacy policies, and verifying compatibility with the relevant blockchain network and token. Stafiel is not responsible for wallet availability, wallet errors, rejected signatures, compromised wallets, unsupported chains or tokens, browser extension behavior, exchange account issues, third-party fees, or losses arising from third-party wallet products or services.
6. Stablecoin Payments and Blockchain Risk
The Services may support USDT, USDC, and other assets or networks that Stafiel makes available from time to time. Support for an asset or network does not mean that Stafiel sponsors, issues, controls, guarantees, or recommends that asset or network.
Blockchain transactions may be irreversible, delayed, failed, forked, censored, reorganized, underpaid, overpaid, sent on the wrong network, sent to the wrong address, or affected by smart contract, wallet, bridge, RPC, validator, indexer, explorer, or network issues. Network fees, gas fees, rent, bandwidth, energy, or similar charges may apply and may change without notice.
You are responsible for understanding the risks of blockchain payments and for configuring checkout flows, settlement wallets, supported networks, and refund processes appropriately for your business.
7. Checkout Sessions and Order Data
You are responsible for the accuracy, legality, and completeness of products, services, prices, invoices, order metadata, customer communications, return URLs, checkout descriptions, and any other information you submit to the Services.
Stafiel may validate, normalize, reject, truncate, or remove data where needed for security, service integrity, compliance, abuse prevention, product operation, or technical limits. Stafiel is not responsible for inaccurate merchant-provided order data or for disputes between you and your customers.
8. Refunds, Disputes, and Customer Relationships
You are responsible for your relationship with your customers, including product or service delivery, refunds, returns, chargeback-like claims, tax invoices, customer support, consumer protection obligations, and disputes.
Where supported, the Services may provide tools for on-chain refunds or related refund workflows. Refund capabilities may vary by network, token, contract, merchant configuration, customer address, available balance, risk status, and other operational constraints. Some networks, currently including Tron, do not support on-chain refund flows through the Services.
Where merchant self-service on-chain refunds are supported, the merchant refund window is the period during which a merchant-initiated on-chain refund can be submitted to the relevant network before settlement or sweep becomes available for the order. The default merchant refund window is 48 hours from order creation unless otherwise configured at order creation. The refund window and related parameters are locked for that order when the order is created; later configuration changes apply only to new orders unless Stafiel expressly provides otherwise. Platform refund or rescue tools, where supported, may have different timing, authorization, and operational rules.
Refund tools provided through the Services are intended to return funds only to the original payer address recorded by the applicable smart contract, on-chain program, or payment infrastructure. The Services do not support redirecting a refund to a different wallet address, exchange account, customer account, or third party unless Stafiel expressly provides otherwise. If a customer pays from a centralized exchange, custodial wallet, omnibus wallet, hosted wallet, or other intermediary-controlled address, an on-chain refund may be technically unavailable, may return to the intermediary rather than the customer, or may not be recoverable by the customer. Merchants are responsible for communicating this risk to their customers and for handling customer disputes or alternative commercial remedies outside the on-chain refund flow.
Stafiel may assist with, initiate, restrict, delay, or decline refund-related actions where Stafiel determines that doing so is appropriate for service, risk, compliance, security, legal, or operational reasons.
Unless Stafiel expressly agrees otherwise in writing, you remain responsible for deciding whether a refund is owed and for handling customer disputes.
9. Fees and Taxes
You agree to pay all fees, charges, network costs, and other amounts associated with your use of the Services. Fees may be shown in the dashboard, API responses, checkout flows, pricing pages, order forms, invoices, or other communications. Fee rates, minimum fees, maximum fees, and similar parameters may be snapshotted at order creation for that order. Later fee changes apply only to new orders unless Stafiel expressly provides otherwise.
Stafiel may add, remove, waive, discount, change, or calculate fees in its discretion to the maximum extent permitted by applicable law. Fee changes may apply immediately or at a later time determined by Stafiel, subject to any separate written agreement that expressly overrides these Terms.
You are responsible for all taxes, duties, levies, reporting, withholding, accounting, and recordkeeping obligations arising from your business, your customers, your payments, your settlements, and your use of the Services. Merchants, including sole proprietors and individual merchants acting for business purposes, are solely responsible for determining, collecting, reporting, withholding, filing, and remitting any taxes, duties, VAT, GST, sales taxes, income taxes, crypto-asset taxes, and similar obligations arising from their business, customers, payments, refunds, and settlements. Stafiel does not calculate, collect, remit, or report taxes on a merchant's behalf unless expressly agreed in writing.
10. Compliance, KYT, AML, and Sanctions
You may not use the Services for illegal, deceptive, harmful, abusive, restricted, or high-risk activity. Stafiel may perform risk, sanctions, fraud, abuse, wallet, transaction, network, merchant, customer, and region screening, including KYT, AML, and similar controls where available, required, or enabled. Stafiel may block, delay, review, reject, report, suspend, or terminate activity where Stafiel determines that doing so is appropriate for compliance, risk, legal, security, or service integrity reasons.
You may not use the Services in, from, or for the benefit of any territory, person, entity, wallet, transaction, product, or activity that is restricted by Stafiel, by applicable law, by sanctions programs, or by Stafiel's service providers. Stafiel may also restrict or block any other jurisdiction, region, person, entity, wallet, transaction, product, service, network, token, or activity that Stafiel determines is restricted, unsupported, high-risk, prohibited, or otherwise inappropriate for legal, compliance, sanctions, fraud, abuse, security, service integrity, commercial, provider, operational, or reputational reasons. Stafiel may maintain and update a separate Restricted Countries and Regions page or similar policy notice covering restricted countries, territories, regions, jurisdictions, persons, products, services, and activities from time to time. That page or notice forms part of these Terms where referenced by Stafiel. Use of the Services is subject to the Restricted Countries and Regions list, as updated from time to time, which is incorporated into these Terms by reference.
Prohibited uses include:
- sanctions evasion, money laundering, terrorist financing, or fraud;
- tax evasion, unlawful tax avoidance, concealment of beneficial ownership, concealment of transaction purpose, unlawful avoidance of reporting obligations, or similar activity;
- illegal goods or services;
- scams, deceptive practices, phishing, or impersonation;
- ransomware, malware, hacking, stolen credentials, or cyber abuse;
- unlawful gambling, betting, lotteries, or games of chance;
- weapons, controlled substances, or regulated goods sold unlawfully;
- sexual exploitation, abuse material, or non-consensual content;
- high-risk financial, investment, lending, exchange, brokerage, custody, or money transmission activity without Stafiel's prior written approval;
- any activity that Stafiel determines may create unacceptable legal, regulatory, reputational, financial, operational, network, or security risk.
You must not use the Services to disguise the source, ownership, control, destination, purpose, tax treatment, or legal status of funds, transactions, wallets, customers, goods, or services.
Stafiel may require original-route refunds and may reject refund redirection, third-party refund, or alternate-address refund requests to reduce fraud, money laundering, sanctions evasion, tax evasion, chargeback-like abuse, and other risk.
Stafiel is not required to support, approve, or continue any merchant, payment, wallet, asset, network, customer, jurisdiction, product, or activity.
11. Service Availability and Changes
The Services may be unavailable, degraded, delayed, inaccurate, or interrupted because of maintenance, incidents, third-party services, blockchain networks, wallets, RPC providers, infrastructure, security controls, abuse prevention, legal requirements, or other factors. Stafiel may monitor, rate limit, throttle, queue, cache, modify, suspend, or disable parts of the Services as needed.
Stafiel may release beta, testnet, preview, experimental, or limited-availability features. Such features may be incomplete, changed, unavailable, or discontinued at any time and may not reflect production behavior.
12. Webhooks, APIs, and Integrations
If you configure webhooks, APIs, return URLs, widgets, or third-party integrations, you are responsible for their security, accuracy, availability, authorization, and correct operation. You must verify webhook signatures, protect secrets, handle retries safely, and ensure that your systems process events correctly.
Stafiel may send checkout, payment, refund, settlement, status, and operational data to endpoints or systems that you configure. Stafiel is not responsible for merchant endpoint downtime, incorrect endpoint configuration, data handling by merchant systems, or losses caused by integration errors.
13. Suspension and Termination
Stafiel may suspend, limit, restrict, or terminate access to all or part of the Services at any time where Stafiel determines that doing so is appropriate, including for security, fraud, abuse, non-payment, legal, regulatory, compliance, sanctions, risk, wallet, network, operational, or reputational reasons.
You may stop using the Services at any time. Certain obligations survive termination, including payment obligations, compliance obligations, dispute handling, confidentiality, ownership, disclaimers, liability limits, and any terms that by their nature should survive.
14. Intellectual Property and Feedback
Stafiel and its licensors retain all rights in the Services, including software, interfaces, APIs, designs, documentation, content, trademarks, and related technology. Subject to these Terms, Stafiel grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for your internal business purposes.
If you provide feedback, suggestions, ideas, or requests, Stafiel may use them without restriction or compensation to you.
15. No Advice
Stafiel provides technology services and operational information. Stafiel does not provide legal, tax, accounting, investment, financial, regulatory, compliance, or other professional advice. Any documentation, payment status, blockchain data, risk signal, dashboard information, or support communication is provided for service operation and should not be treated as professional advice.
You are responsible for obtaining your own professional advice and for making your own decisions about assets, networks, taxes, accounting, compliance, customers, refunds, settlements, and business operations.
16. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Stafiel disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted service, accuracy, availability, security, and error-free operation.
Stafiel does not guarantee that any payment will be detected, confirmed, settled, refunded, reversible, recoverable, profitable, compliant, or accepted by any network, wallet, provider, merchant, or customer.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Stafiel will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of revenue, business, goodwill, data, tokens, wallets, private keys, opportunities, or expected savings.
To the maximum extent permitted by applicable law, Stafiel's total liability for all claims relating to the Services will not exceed the fees paid by you to Stafiel for the Services giving rise to the claim during the three months before the event giving rise to liability, or one hundred U.S. dollars, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limits may not apply to you to the extent prohibited by applicable law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
18. Indemnity
You will defend, indemnify, and hold harmless Stafiel and its affiliates, personnel, contractors, service providers, and representatives from and against claims, losses, liabilities, damages, penalties, fines, costs, and expenses arising from or relating to your business, your customers, your products or services, your use of the Services, your wallets, your configurations, your integrations, your breach of these Terms, or your violation of law or third-party rights.
The procedure for indemnification is described in Section 21.
19. Governing Law and Dispute Terms
You are responsible for complying with all laws that apply to you, your business, your customers, and your use of the Services.
These Terms will be governed by the laws designated in an applicable order form, merchant agreement, platform agreement, or other written agreement with Stafiel. Unless a written agreement between you and Stafiel states otherwise, disputes will be handled under the forum, law, venue, and dispute resolution method that Stafiel designates in the applicable ordering, onboarding, merchant, platform, or similar written documents, to the maximum extent permitted by applicable law. If no such designation has been made when a dispute arises, Stafiel may designate the governing law, forum, venue, and dispute resolution method by notice given through reasonable means, to the maximum extent permitted by applicable law. If that designation is not permitted by applicable law, applicable conflict-of-law rules may apply.
20. Changes to These Terms
Stafiel may update these Terms from time to time. Updates may be posted on the website, shown in the dashboard, or communicated by other reasonable means where required by applicable law. Continued use of the Services after an update becomes effective means you accept the updated Terms.
21. General Terms
Stafiel will not be responsible for delay or failure to perform caused by events beyond its reasonable control, including blockchain reorganization, congestion, validator failure, RPC outage, wallet provider issues, third-party infrastructure failure, Cloudflare or provider incidents, denial-of-service attacks, security incidents, labor disputes, natural events, war, terrorism, government action, legal restrictions, sanctions, or network emergencies.
If any part of these Terms is found unenforceable, the remaining parts remain in effect to the maximum extent permitted by law. Failure to enforce a provision is not a waiver. Stafiel may assign or transfer these Terms, the Services, or related rights and obligations to an affiliate, successor, acquirer, or other party involved in a merger, acquisition, financing, restructuring, sale of assets, or similar transaction. You may not assign these Terms without Stafiel's prior written consent.
Stafiel may provide notices through the dashboard, registered email, website, documentation, or other reasonable means. Notices to Stafiel must be sent to [email protected] unless Stafiel designates another notice method.
These Terms, together with any applicable order form, merchant agreement, platform agreement, data processing terms, acceptable use terms, policies, or other written terms provided by Stafiel, form the entire agreement for the Services and supersede prior or contemporaneous understandings about the same subject matter.

For indemnity claims, Stafiel may provide notice by reasonable means. Stafiel may control the defense and settlement of any claim for which indemnity is sought, and you will reasonably cooperate. You may not settle any claim in a way that admits fault by Stafiel, imposes obligations on Stafiel, or affects Stafiel's rights without Stafiel's prior written consent.
You must comply with export control, sanctions, anti-money laundering, anti-terrorism, anti-bribery, and anti-corruption laws that apply to you and your use of the Services, including laws relating to restricted jurisdictions, restricted parties, prohibited end uses, public officials, commercial bribery, books and records, and improper payments.
Additional terms or policies, including data processing terms, acceptable use terms, cookie terms, subprocessor terms, service levels, or product-specific terms, may apply where provided by Stafiel or required by applicable law.
