In these Terms, "you" and "Merchant" refer to that business and any person\nusing the Services on its behalf.
\n
References to "Stafiel" mean the Stafiel service and the operator, provider,\naffiliate, successor, or assignee that makes the Services available or is\nidentified in an applicable order, onboarding flow, merchant agreement, platform\nagreement, or other written document.
\n
1. Business Use
\n
The Services are intended for merchants, platforms, and other business users.\nThey are not intended for consumer account use. A customer who pays a merchant\nthrough a Stafiel checkout flow is the merchant's customer, not a Stafiel account\nholder solely because that customer completes a payment.
\n
You must be at least 18 years old and have legal authority to use the Services\nfor business purposes. You are responsible for ensuring that your use of the\nServices, your products or services, your customers, and your payment activity\ncomply with all laws, rules, regulations, orders, sanctions, tax requirements,\nand industry obligations that apply to you.
\n
2. The Services
\n
Stafiel provides technology that helps merchants create stablecoin checkout\nsessions, present hosted or embedded payment experiences, receive payment status\nupdates, and configure settlement paths for supported blockchain networks and\ntokens.
\n
The Services may include:
\n
\n
hosted checkout pages with QR-based payment displays;
\n
merchant dashboards and administrative tools;
\n
payment APIs, checkout session APIs, and order status APIs;
\n
widget or embedded checkout experiences;
\n
API status retrieval, merchant notifications, and event delivery features;
\n
blockchain payment detection and status updates;
\n
refund, settlement, contract, and on-chain operation tools where supported;
\n
documentation, support, operational communications, and related features.
\n
\n
Available features, supported assets, supported networks, confirmation rules,\nrefund capabilities, contract logic, and operational limits may vary by merchant,\nregion, token, network, configuration, risk review, or service plan. Stafiel may\nadd, modify, suspend, or discontinue any feature at any time to the maximum extent\npermitted by applicable law.
\n
3. Accounts and Credentials
\n
You are responsible for all activity under your account, dashboard, API keys,\nOAuth login, webhook secrets, signing keys, wallet connections, and other\ncredentials. You must keep credentials confidential, use appropriate access\ncontrols, and promptly notify Stafiel if you believe any credential, wallet, or\naccount has been compromised.
\n
Stafiel may reject, limit, suspend, rotate, revoke, or require replacement of\ncredentials where Stafiel determines that doing so is appropriate for security,\nfraud prevention, compliance, abuse prevention, service integrity, risk control,\nor operational reasons.
\n
4. Merchant Configuration and Wallets
\n
You are responsible for configuring accurate merchant information, checkout\nsettings, supported assets, supported networks, return URLs, webhook endpoints,\nwallet addresses, settlement preferences, and other service settings.
\n
Where the Services request a wallet signature or other wallet authorization, you\nare responsible for verifying the message, wallet, chain, token, address, and\ntransaction before signing. Merchant-configured settlement addresses or settlement\nrules may be written into smart contracts, on-chain programs, or other payment\ninfrastructure used for a checkout session or merchant configuration.
\n
The Services are designed for merchants to maintain control over their own\nwallets and signing authority. Stafiel does not require merchants to provide\nprivate keys as part of ordinary checkout operation. You remain responsible for\nwallet custody, wallet security, wallet compatibility, private keys, seed phrases,\nsigners, permissions, approvals, and any loss or compromise involving your wallet\nor signing environment.
\n
Stafiel-controlled platform roles may be used within the logic of applicable\nsmart contracts, on-chain programs, or payment infrastructure. These roles may\ndeploy or initialize contracts or programs, configure fee treasury settings,\noperate settlement sweeps, execute platform refunds or rescue actions where\nsupported, extend sweep unlock timing, pause, resume, close, or govern contracts\nor programs, and collect or route platform fees. These roles do not give Stafiel\ncustody of merchant funds outside the logic encoded in the applicable contract,\nprogram, or service configuration.
\n
5. Third-Party Wallets and Tools
\n
Stafiel may display or reference third-party wallet options, browser extension\nwallets, exchange wallets, blockchain explorers, node providers, or similar tools\nfor convenience. Stafiel does not operate, control, endorse, warrant, or assume\nresponsibility for any third-party wallet provider, wallet software, browser\nextension, exchange account, node provider, explorer, or related tool.
\n
You and your customers are responsible for selecting, installing, securing, and\nusing wallets and related tools, reviewing applicable third-party terms and\nprivacy policies, and verifying compatibility with the relevant blockchain\nnetwork and token. Stafiel is not responsible for wallet availability, wallet\nerrors, rejected signatures, compromised wallets, unsupported chains or tokens,\nbrowser extension behavior, exchange account issues, third-party fees, or losses\narising from third-party wallet products or services.
\n
6. Stablecoin Payments and Blockchain Risk
\n
The Services may support USDT, USDC, and other assets or networks that Stafiel\nmakes available from time to time. Support for an asset or network does not mean\nthat Stafiel sponsors, issues, controls, guarantees, or recommends that asset or\nnetwork.
\n
Blockchain transactions may be irreversible, delayed, failed, forked, censored,\nreorganized, underpaid, overpaid, sent on the wrong network, sent to the wrong\naddress, or affected by smart contract, wallet, bridge, RPC, validator, indexer,\nexplorer, or network issues. Network fees, gas fees, rent, bandwidth, energy, or\nsimilar charges may apply and may change without notice.
\n
You are responsible for understanding the risks of blockchain payments and for\nconfiguring checkout flows, settlement wallets, supported networks, and refund\nprocesses appropriately for your business.
\n
7. Checkout Sessions and Order Data
\n
You are responsible for the accuracy, legality, and completeness of products,\nservices, prices, invoices, order metadata, customer communications, return URLs,\ncheckout descriptions, and any other information you submit to the Services.
\n
Stafiel may validate, normalize, reject, truncate, or remove data where needed\nfor security, service integrity, compliance, abuse prevention, product operation,\nor technical limits. Stafiel is not responsible for inaccurate merchant-provided\norder data or for disputes between you and your customers.
\n
8. Refunds, Disputes, and Customer Relationships
\n
You are responsible for your relationship with your customers, including product\nor service delivery, refunds, returns, chargeback-like claims, tax invoices,\ncustomer support, consumer protection obligations, and disputes.
\n
Where supported, the Services may provide tools for on-chain refunds or related\nrefund workflows. Refund capabilities may vary by network, token, contract,\nmerchant configuration, customer address, available balance, risk status, and\nother operational constraints. Some networks, currently including Tron, do not\nsupport on-chain refund flows through the Services.
\n
Where merchant self-service on-chain refunds are supported, the merchant refund\nwindow is the period during which a merchant-initiated on-chain refund can be\nsubmitted to the relevant network before settlement or sweep becomes available\nfor the order. The default merchant refund window is 48 hours from order\ncreation unless otherwise configured at order creation. The refund window and\nrelated parameters are locked for that order when the order is created; later\nconfiguration changes apply only to new orders unless Stafiel expressly provides\notherwise. Platform refund or rescue tools, where supported, may have different\ntiming, authorization, and operational rules.
\n
Refund tools provided through the Services are intended to return funds only to\nthe original payer address recorded by the applicable smart contract, on-chain\nprogram, or payment infrastructure. The Services do not support redirecting a\nrefund to a different wallet address, exchange account, customer account, or\nthird party unless Stafiel expressly provides otherwise. If a customer pays from\na centralized exchange, custodial wallet, omnibus wallet, hosted wallet, or other\nintermediary-controlled address, an on-chain refund may be technically\nunavailable, may return to the intermediary rather than the customer, or may not\nbe recoverable by the customer. Merchants are responsible for communicating this\nrisk to their customers and for handling customer disputes or alternative\ncommercial remedies outside the on-chain refund flow.
\n
Stafiel may assist with, initiate, restrict, delay, or decline refund-related\nactions where Stafiel determines that doing so is appropriate for service, risk,\ncompliance, security, legal, or operational reasons.
\n
Unless Stafiel expressly agrees otherwise in writing, you remain responsible for\ndeciding whether a refund is owed and for handling customer disputes.
\n
9. Fees and Taxes
\n
You agree to pay all fees, charges, network costs, and other amounts associated\nwith your use of the Services. Fees may be shown in the dashboard, API responses,\ncheckout flows, pricing pages, order forms, invoices, or other communications.\nFee rates, minimum fees, maximum fees, and similar parameters may be snapshotted\nat order creation for that order. Later fee changes apply only to new orders\nunless Stafiel expressly provides otherwise.
\n
Stafiel may add, remove, waive, discount, change, or calculate fees in its\ndiscretion to the maximum extent permitted by applicable law. Fee changes may\napply immediately or at a later time determined by Stafiel, subject to any\nseparate written agreement that expressly overrides these Terms.
\n
You are responsible for all taxes, duties, levies, reporting, withholding,\naccounting, and recordkeeping obligations arising from your business, your\ncustomers, your payments, your settlements, and your use of the Services.\nMerchants, including sole proprietors and individual merchants acting for\nbusiness purposes, are solely responsible for determining, collecting, reporting,\nwithholding, filing, and remitting any taxes, duties, VAT, GST, sales taxes,\nincome taxes, crypto-asset taxes, and similar obligations arising from their\nbusiness, customers, payments, refunds, and settlements. Stafiel may maintain and update a separate\nRestricted Countries and Regions page or\nsimilar policy notice covering restricted countries, territories, regions,\njurisdictions, persons, products, services, and activities from time to time.\nThat page or notice forms part of these Terms where referenced by Stafiel.\nUse of the Services is subject to the Restricted Countries and Regions list,\nas updated from time to time, which is incorporated into these Terms by\nreference.
\n
Prohibited uses include:
\n
\n
sanctions evasion, money laundering, terrorist financing, or fraud;
\n
tax evasion, unlawful tax avoidance, concealment of beneficial ownership,\nconcealment of transaction purpose, unlawful avoidance of reporting\nobligations, or similar activity;
\n
illegal goods or services;
\n
scams, deceptive practices, phishing, or impersonation;
\n
ransomware, malware, hacking, stolen credentials, or cyber abuse;
\n
unlawful gambling, betting, lotteries, or games of chance;
\n
weapons, controlled substances, or regulated goods sold unlawfully;
\n
sexual exploitation, abuse material, or non-consensual content;
\n
high-risk financial, investment, lending, exchange, brokerage, custody, or\nmoney transmission activity without Stafiel's prior written approval;
\n
any activity that Stafiel determines may create unacceptable legal, regulatory,\nreputational, financial, operational, network, or security risk.
\n
\n
You must not use the Services to disguise the source, ownership, control,\ndestination, purpose, tax treatment, or legal status of funds, transactions,\nwallets, customers, goods, or services.
\n
Stafiel may require original-route refunds and may reject refund redirection,\nthird-party refund, or alternate-address refund requests to reduce fraud, money\nlaundering, sanctions evasion, tax evasion, chargeback-like abuse, and other\nrisk.
\n
Stafiel is not required to support, approve, or continue any merchant, payment,\nwallet, asset, network, customer, jurisdiction, product, or activity.
\n
11. Service Availability and Changes
\n
The Services may be unavailable, degraded, delayed, inaccurate, or interrupted\nbecause of maintenance, incidents, third-party services, blockchain networks,\nwallets, RPC providers, infrastructure, security controls, abuse prevention,\nlegal requirements, or other factors. Stafiel may monitor, rate limit, throttle,\nqueue, cache, modify, suspend, or disable parts of the Services as needed.
\n
Stafiel may release beta, testnet, preview, experimental, or limited-availability\nfeatures. Such features may be incomplete, changed, unavailable, or discontinued\nat any time and may not reflect production behavior.
\n
12. Suspension and Termination
\n
Stafiel may suspend, limit, restrict, or terminate access to all or part of the\nServices at any time where Stafiel determines that doing so is appropriate,\nincluding for security, fraud, abuse, non-payment, legal, regulatory, compliance,\nsanctions, risk, wallet, network, operational, or reputational reasons.
\n
You may stop using the Services at any time. Certain obligations survive\ntermination, including payment obligations, compliance obligations, dispute\nhandling, confidentiality, ownership, disclaimers, liability limits, and any\nterms that by their nature should survive.
\n
14. Intellectual Property and Feedback
\n
Stafiel and its licensors retain all rights in the Services, including software,\ninterfaces, APIs, designs, documentation, content, trademarks, and related\ntechnology. Subject to these Terms, Stafiel grants you a limited, revocable,\nnon-exclusive, non-transferable right to use the Services for your internal\nbusiness purposes.
\n
If you provide feedback, suggestions, ideas, or requests, Stafiel may use them\nwithout restriction or compensation to you.
\n
15.
